1. Service Description

MP CRM is a field service customer relationship management platform operated by MP Software Ltd ("we", "us", "our"). The platform provides tools for scheduling, quoting, job management, invoicing, team communication, and client management for field service businesses.

2. User Accounts

Each user account is intended for use by a single individual. Sharing account credentials with other individuals is strictly prohibited. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. Acceptable Use

MP CRM is provided for legitimate business purposes only. You agree not to:

  • Use the platform for any unlawful or fraudulent purpose
  • Attempt to gain unauthorized access to any part of the platform or its systems
  • Interfere with or disrupt the platform's functionality or servers
  • Upload or transmit malicious code, viruses, or harmful content
  • Use the platform to collect or harvest personal information without authorization
  • Resell, sublicense, or redistribute access to the platform without our written consent

4. Intellectual Property

The MP CRM platform, including all software, designs, text, graphics, logos, and other content, is the property of MP Software Ltd and is protected by Canadian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purpose. You retain ownership of any data you enter into the platform.

5. Data and Privacy

Your use of MP CRM is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

6. Limitation of Liability

To the maximum extent permitted by applicable law, MP Software Ltd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform. Our total liability for any claim arising under these terms shall not exceed the amount you have paid us in the twelve (12) months preceding the claim. The platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

7. Service Availability

We strive to maintain high availability of the platform but do not guarantee uninterrupted access. We may perform scheduled maintenance, updates, or modifications to the platform. We will make reasonable efforts to provide advance notice of any planned downtime.

8. Termination

Either party may terminate the use of the platform with 30 days written notice. We reserve the right to suspend or terminate your account immediately if you violate these terms or engage in conduct that we determine, in our sole discretion, is harmful to the platform, other users, or our business. Upon termination, your right to access the platform will cease, and we will handle your data in accordance with our Privacy Policy.

9. Changes to These Terms

We may update these terms from time to time. Any changes will be posted on this page with an updated revision date. Continued use of the platform after changes are posted constitutes your acceptance of the revised terms.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.
